1. GENERAL
1. The terms and conditions set out herein shall apply to All and any business undertaken, including any advice or information given and or service/s provided, whether gratuitously or not by Arrow Fleet Limited [inc all relevant trading names] hereinafter called "the Company" Each condition shall be deemed to be incorporated in and be a condition of any agreement between the Company and it's customers.
2. In these conditions of trading [hereinafter called "these conditions"] the Company means and [unless the context precludes the same] includes the Company's servants, agents and any person or persons subcontracted to carry out work for and on behalf of the Company.
3. "The Customer" [hereinafter called "the customer"] is the party, individual or company which contracts for the services of the Company and this would include the customer's servants or agents.
2. ALTERATIONS TO TERMS AND CONDITIONS
1. The Company reserves the right to amend, alter or vary these terms and conditions at its absolute discretion upon giving reasonable notice to the customer. Within this right is the right for the Company to amend, alter or vary charges for services detailed in the Company tariff of charges. No representations made or variations in or additions to these terms and conditions or warranty given by any person acting or purporting to act on behalf of the Company shall have any force or effect whatsoever unless confirmed in writing by an authorized officer of the company.
3. CHARGES, PAYMENTS FOR SERVICES
1. The charges payable by the customer for services provided by the Company shall be at a rate specified in the Company's schedule of charges as in force, which is published and available upon request.
2. The Company reserves the right to apply an administration fee to all invoices.
3. It is a condition of this agreement that all invoices shall be paid in full within 30 days of the invoice date thereof. Should any invoice not be paid within 30 days any outstanding invoices shall immediately become due and payable.
4. Without prejudice to the Company's rights hereunder all monies due to the company in respect of provision of services which are not paid by the specified due date shall bear interest on the balance of such monies at a rate of 3% per month until payment is received by the Company in respect thereof. Discounts on invoices not paid within these terms and conditions will be withdrawn and debited.
5. The Customer shall not be entitled for any reason to withhold payment of monies due to the Company and in particular shall not be entitled to do so in circumstances where the customer is in dispute with the Company and or claims money or compensation from the Company in respect of services. Invoice queries MUST be raised within 14 days from invoice date.
6. The Company prior to opening an account facility for a customer may employ the services of a Credit Reference Agency for the purpose of ascertaining credit worthiness/risk, the decision to offer or refuse account facilities may be based on the credit report.
7. The Company may set a limit on the total amount which may be outstanding as unpaid on such an account at any one time. The Company reserves the right to refuse to provide services in the event of this limit being exceeded.
8. The customer will be issued with a security account number which must be quoted on all bookings. At the customers request the account may also be password protected. Notwithstanding the aforesaid, the Company does not accept any responsibility whatsoever when security account numbers and or passwords are used by unauthorised personnel and or for unauthorised purposes.
9. Without prejudice to the Company's rights hereunder or arising otherwise howsoever, the Company reserves the right to exercise a lien over the customer's goods and or property pending payment in full of outstanding invoices.
10. In the event of the customer being in breach of any of the terms and or conditions laid out the Company shall have the right [without prejudice to any other rights it may have] to terminate any agreement together with any account facility in place and or to suspend provision of services forthwith without notice. In the event of an account facility being terminated, all monies outstanding will become due for immediate payment in full.4.
4. INSURANCE
1. The Company is not a common carrier and will accept goods for carriage only on these conditions. The Company does not have insurance for goods or property {of whatsoever nature] in transit [in transit for other purposes of this clause being from the time the goods or property are collected by the Company up to and including delivery thereof] and the customer is advised to effect such insurance as the customer deems necessary for the carriage of goods and or property by the Company.
5. COMPULSORY LEGISLATION
1. If any legislation is compulsory applicable to any business undertaken, these conditions shall as regards such as business be read as subject to such legislation and noting in these conditions shall be constructed as a surrender by the Company of any of its rights or immunities or as an increase of any of it's responsibilities or liabilities under such legislation to any extent such part shall as regards such business be void to that extent but no further.
6. CARRIAGE OF GOODS
1. Customers entering into transactions of any kind with the Company for the carriage of goods expressly warrant that they are either the owners or the authorised agents of the owners of any goods to which the transaction relates and further warrant that they are authorised to accept and are accepting these conditions not only for themselves but also as agents for and on behalf of all other persons who are or may thereafter become interested in the goods.
2. Any instructions or business accepted by the Company may in the absolute discretion of the Company be fulfilled by the company itself by its own servants performing part or all of the relevant services or by the Company employing or instructing or entrusting the carriage of goods to others to perform part or all of the service.
3. Subject to express instructions given by the customer, the Company reserves to its self absolute discretion as to the means, route and procedure to followed in the handling, storage and transportation of goods. Further, if in the opinion it is at any stage necessary or desirable in the company's interests to depart from those instructions, the Company shall be at liberty to do so.
4. The customer warrants that all goods entrusted to the Company for carriage have been properly and sufficiently packed, labelled and/or prepaid.
5. All offers and quotations by the Company for its services are given on the basis of prompt acceptance by the customer and shall only remain open for acceptance for the period of seven days unless revoked, withdrawn or verified by the Company prior to such acceptance.
6. The Company shall only be responsible for any loss or damage to goods for any non delivery or mis-delivery if it is proved that the loss, damage, non-delivery occurred whilst the goods were in the actual custody of the Company and under its actual control and that such loss, damage, non-delivery, mis-delivery was due to the negligence of the Company.
7. The Company shall only be liable for any non-compliance or mis-compliance with instructions given to it if it is proved that the same was caused by the negligence or fault of the Company.
8. Save as aforesaid the Company shall be under no liability whatsoever and however arising and whether in respect of or in connection with any goods or any instructions, business, advice, information or service or otherwise.
9. It shall be the responsibility of the customer to satisfy himself that any load that he/she wishes to have carried by the Company shall be suitable for conveyance in the vehicle or machine ordered by the customer and provided by the Company and if the customer accepts the vehicle or machine offered by the Company for the carriage of such load, the Company shall accept no liability whatsoever for any loss or damage to such load arising from the unsuitability of such vehicle or machine.
10. Without prejudice to the generality of the foregoing and in the absence of express agreement by the Company's managing director the Company can under no circumstances whatsoever accept any responsibility for any delay to goods being delivered, save for that proven to be caused by negligence by the Company.
11. Further and without prejudice to the generality of the preceding sub condition the Company shall not, whether under sub conditions (6.6) or (6.7) or otherwise, be under any liability whatsoever for any detentions of goods or any other consequential loss, damage or deterioration arising there from except where (a) the customer shall have specified to the Company the nature of the goods and the purpose for their transit and the Company through its managing director shall have agreed in writing with the customer a time scheduled and specification in respect of the transit of said goods. (b) it shall be proved that such detention, delay, loss, damage or deterioration was due to the negligence of the Company.
12. In no case whatsoever shall any liability of the company however arising and notwithstanding any lack of explanation exceed the value of relevant goods or #500.00 [Five Hundred Pounds] per consignment whichever is the less.
13. In any event the Company shall be discharged from all liability for the loss from a package or an unpacked consignment or for damage or mis-delivery [however caused] unless the Company is advised thereof in writing within 7 days and a quantified claim is made in writing 28 days after the end of the transit of the consignment.
14. The Company will not accept or deal with any goods deemed to be of dangerous, noxious, hazardous, flammable or explosive type, likely to cause damage or are illegal to possess under English Law. Should the customer nevertheless deliver any such goods to the company or cause the 6.14 company to handle or deal with any such goods they shall be liable for all loss or damage howsoever caused by to or in connection with the goods however arising and shall indemnify the company against penalties, claims, damages, costs and expenses whatsoever arising in connection therewith and the goods may be destroyed or otherwise dealt with at the sole discretion of the company or by any other person in whose custody they may be at the relevant time.
15. Except under special arrangements previously made in writing the Company will not undertake the carriage or delivery of bullion, money or securities [whether cash, cheques, bankers drafts, bonds, share certificates or in any other form] precious stones, furs, coins, jewellery, valuables, antiques, pictures [excluding commercial artwork], livestock or plants. Should any customer nevertheless deliver any such goods to the Company or cause the Company to handle, transport or deal with any such goods other than under special arrangements previously made in writing, the Company shall be under no liability whatsoever for or in connection with the goods however arising.
16. The Company shall not be liable directly or indirectly for consequential loss [whether for loss, profit or otherwise] and or loss, damage and or breakage to china, glass, ceramics or other breakables whether arising from the act, omissions or negligence of the Company and or its employees and or agents or arising otherwise howsoever. To include breakdown, accident, traffic or adverse weather conditions. To also include any and all circumstances beyond the control of the Company.
17. All agreements between the Company and its customers shall be governed by English Law and be within the exclusive jurisdiction of the English Court.
7. DRIVERS AND CUSTOMERS
1. Drivers will accept jobs being offered to them by FWG on the basis that they will follow correct protocols, always applying customers safety as number one priority and reporting any issues that may arise as soon as time permits.
2. Drivers must never make inappropriate conversations or gestures to customers as this may lead to immediate dismissal.
3. Arrow Fleet will investigate any complaints that may be made by either driver or customer, and make any final decisions, this may include but not limited to, black listing customers for life, dismissing PHV drivers and may include reporting them to TFL as well as local authorities should it be required.
4. Arrow Fleet are and will adhere to and follow tfl guidelines at all times so drivers must follow our set guidelines at all times.
5. Arrow Fleet have the right to cancel any jobs booked over the phone or via the APP, at any time, however all efforts will be made to notify the booking customer as early as possible, this may be limited to just phone calls.
6. Arrow Fleet are not permitted to make any kind of refund once a driver has been paid, although they may assist in any disputes that may arise due to unforeseen circumstances.
7. Terms of service, will be to provide a car and professional driver to any booking that has been made and approved for dispatch, subject to both parties accepting the quoted price for the journey.
THESE TERMS AND CONDITIONS (“Conditions”) DEFINE THE BASIS UPON WHICH Arrow Fleet WILL PROVIDE YOU WITH ACCESS TO THE Arrow Fleet PLATFORM, PURSUANT TO WHICH YOU WILL BE ABLE TO PROVIDE CERTAIN TRANSPORTATION SERVICES TO CUSTOMERS ON RECEIPT OF ORDERS MADE THROUGH Arrow Fleet PLATFORM. THESE CONDITIONS (TOGETHER WITH THE DOCUMENTS REFERRED TO HEREIN) SET OUT THE TERMS OF USE ON WHICH YOU MAY, AS A DRIVER, USE THE Arrow Fleet AND PROVIDE THE TRANSPORTATION SERVICES. BY USING THE Arrow Fleet, YOU INDICATE THAT YOU ACCEPT THESE TERMS OF USE WHICH Arrow Fleet, AMONG OTHER THINGS, TO ALL SERVICES HEREINUNDER TO BE RENDERED TO OR BY YOU VIA THE Arrow Fleet WITHIN THE UK AND THAT YOU AGREE TO ABIDE BY THEM. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE YOU START TO USE/WORK WITH THE Arrow Fleet AND/OR PROVIDE TRANSPORTATION SERVICES. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST NOT USE THE Arrow Fleet OR PROVIDE THE TRANSPORTATION SERVICES.
DEFINITIONS AND INTERPRETATION
In these Conditions (unless the context otherwise requires), the following words and phrases shall have the following meanings:
• “Arrow Fleet” means the Arrow Fleet (minicab services ltd) which provides a platform for access to the Services and is owned by Arrow Fleet;
• “Collection Location” means the locations as notified via the Arrow Fleet, from which the Customers are to be collected;
• “Customers” means the customers identified via the Arrow Fleet who wish to engage Transportation Services;
• “Customer Personal Data” means Personal Data of the Customer which is processed by either party/partners/ contractors in connection with these Conditions;
• “Drop off Location” means the location notified by the Customer using the Arrow Fleet, which will be the final destination of the Transportation Services;
• “Driver” means a person who is an independent vehicle owner or Company Driver (Private Hire) and Rental car (Private Hire ) provide Services who has accepted these Conditions with Arrow Fleet to provide transportation services to Customers who place Orders in the Arrow Fleet, as an independent contractor working on his or her own account
DRIVER REQUIREMENTS
In order to provide the Transportation Services, you must have
• A valid full UK drivers licence which you have held for longer than 3 years /36 months; connection with, TFL/DVLA (T&C) a breach by you of this Condition
• Have valid Private Hire Insurance
• MOT Valid for Six Months
• Hold a Private Hire licence valid in the local area where you will provide the Transportation Services;
• Have a clean and well-maintained vehicle for the provision of Transportation Services;
• Have anti virus software installed and maintained on your device which will provide Arrow Fleet appropriate security against unauthorised access to Customer Personal Data not download any software or work with any other privet hire company or other Arrow Fleet and its partners which may interfere with or modify the Arrow Fleet or its operation.
• You hereby that you will not refuse any job which is assigned by Arrow Fleet and provide excellent service at your best
• Arrow Fleet reserves the right to give priority to Drivers that have better operational performance, and to exclude (temporarily or permanently) Drivers that do not meet the Minimum Requirements and any other operational threshold set by Arrow Fleet in the future.
• You agree that you will maintain the Minimum Acceptance Rate
• Abide by the terms of any contractor standards issued by Arrow Fleet from time to time and You must notify Arrow Fleet immediately if you do not have any of the Minimum Requirements and you must cease to provide the Transportation Services immediately
• You warrant that you will provide the Transportation Services in full conformity to the Minimum Requirements and shall not do anything in contravention of these requirements and/or which may threaten the validity of, or limit the cover provided by, such Minimum whether or not referenced herein;
• At all times when providing the Transportation Services, you acknowledge and warrant that you will comply with the requirements of the Equality Act 2010 (as amended) and any other Arrow Fleet likable Law. You acknowledge that as a requirement of your Private Hire/private hire licence you are required to be a “fit and proper person” and you agree that you will at all times maintain this status and not act in a manner that could reasonably be considered to be contrary to this requirement.
• You acknowledge and agree that when accepting an Order, you will immediately update the Arrow Fleet when you reach the Collection Location and the Delivery Location and when the Customer enters your vehicle if you are required to wait for the Customer. You acknowledge that if you fail or delay in updating the Arrow Fleet, this will be deemed as fraudulent activity and you may put fine (in whole or in part) for the Transportation Services and/or your access to the Arrow Fleet may be suspended.
• If, during the provision of the Transportation Services, you are involved in an accident or you are involved in any incident involving a Customer, you must immediately notify Arrow Fleet by contacting our customer service centre on the number provided in the Arrow Fleet
The material displayed on the Arrow Fleet is provided without any guarantees, conditions or warranties as to its accuracy. You must bear the risks associated with the Arrow Fleet, the Services.
To the fullest extent permitted by law, Arrow Fleet (including its officers, directors and employees) and third parties (including any agents or sub contractors) connected to it hereby expressly exclude:
All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity in it provision of the Services and/or use of the Arrow Fleet; and any liability arising under or in connection with use of, or inability to use, the Arrow Fleet
and/or Services use of or reliance on any content displayed on the Arrow Fleet incompatibility of the Arrow Fleet with any of your electronic and/or mobile equipment, devices, software or telecommunications links and unsuitability, unreliability or inaccuracy of the Arrow Fleet and/or the Services. To the fullest extent permitted by law you acknowledge and agree that Arrow Fleet will not be liable to you or any third party for any indirect or consequential losses or for any loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management and/or office time, however arising and whether caused by tort (including negligence), breach of contract or otherwise, (even if foreseeable) resulting from your use of the Arrow Fleet and/or Services.
Arrow Fleet will not be liable for any loss or damage caused by a virus, distributed denial of service attack, or other technologically harmful material that may infect your electronic and/or mobile equipment, computer programs, data or other proprietary material due to your use of the Arrow Fleet and/or the Services or to your downloading of any content on it, or on any website linked to it. Arrow Fleet shall not be in breach of these Conditions nor liable for any delay in performing, or failure to perform, any of its obligations under these Conditions if such delay or failure results from events, circumstances or causes beyond its reasonable control. Subject to the remainder of this Condition, Arrow Fleet’ total liability to you in connection with these Conditions and the Services, however arising whether caused by tort (including negligence), breach of contract or otherwise, shall be limited to the Fees payable to you in relation to the Order in which the liability arose.
INDEMNITY
By accepting these Conditions you agree to defend, indemnify (compensate) and hold Arrow Fleet, its affiliates, its licensors, and each of their officers, directors, other users, employees, attorneys and agents, harmless from all and against any and all claims, costs, damages, losses, liabilities and expenses (including attorney’s fees) arising out of or in connection
Your violation or breach of these Conditions or any Arrow Fleet liable Law or regulation, your violation or breach of any rights of any third party, including Customers; or your use or misuse of the Arrow Fleet and/or Services.
Requirements. In addition, you must only accept Orders that are in accordance with the conditions and requirements of your Private Hire licence, including any zoning requirements. You shall indemnify Arrow Fleet against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred arising out of, or in
These Conditions shall exist for an indefinite period of time. However, you may terminate your agreement with us at 3 weeks’ notice time by permanently deleting the Arrow Fleet installed on any device/text/mail and deactivating your account.
Arrow Fleet is entitled to terminate its provision of the Services to you or your exercise to use the Arrow Fleet, with immediate effect, by disabling your account or otherwise preventing you from accessing or using the Arrow Fleet by any means, at its sole discretion.
Your Driver Account and the Services are personal to you, and therefore you may not assign, sublicense or transfer in any other way your rights and obligations under these Conditions of use to any third party. However, if necessary, Arrow Fleet may freely assign its rights and obligations without your consent and without the need to notify you before assigning them.
Drivers are expected to drive safely at all times. Driving a company vehicle, rented vehicles, a personal vehicle or other vehicles on behalf of the Arrow Fleet is a privilege, not a right. The safety of passengers, pedestrians and others is every driver's highest priority. The following rules are included by reference on the credentialing
Form and, by submitting credentials each driver agrees to abide by the following terms, conditions, and rules and regulations.
Drivers will:
• Have and carry valid documents requested by TFL while driving.
• Not permit any unauthorized person to drive the vehicle. Unauthorized drivers may be personally liable for any accident or loss and know and observe all traffic laws, ordinances and regulations.
• Not transport unauthorized passengers. Not transport any alcohol (unless specifically permitted, e.g., dining or conference services), drugs, or other contraband.
FOLLOW THESE MINIMUM SAFETY REQUIREMENTS
• Never permit total occupancy to exceed the number of seat belts.
• Use safe driving principles, practices and techniques at all times.
• Not drive under the influence of drugs or alcohol. Not drive if using a medication that impairs judgment, reflexes or alertness.
• Not use a cell phone (including "hands free" cell phones, texting, PDAs, computers or any other device)when the vehicle is moving or engage in other distracting behaviour. If the driver must make or take a call or text message, the vehicle must be safely stopped and secured (parked), before using a cell phone.
Be reasonably satisfied that the following parts and components are in good working order
♦ Service Brakes ♦ Parking Brake ♦ Steering Mechanism ♦ Lights/Reflector Devices ♦ Tires/Wheels ♦ Horn ♦. Windshield Wipers/Washers ♦ Rear-Vision Mirrors ♦ Coupling Devices Report any defects immediately to the vehicle coordinator to determine if the vehicle is safe to operate. PERFORM REQUIRED ADMINISTRATIVE RESPONSIBILITIES

Report all accidents or traffic violations involving or while driving on Immediately report any changes in license status (such as points, suspension or revocation) and any other at-fault accidents that occur whether or not the accident or violation occurred while driving Personally assume responsibility for any and all fines or traffic violations associated with use of a vehicle or privately-owned vehicle used on.
Agree and accept that failure to follow driving rules may result in temporary or permanent suspension of driving privileges, or have more serious consequences. Such as fine, loss or damage demand from driver
Arrow Fleet cannot be held accountable for any loss financial, professional, missed connection times, due to adverse weather, traffic conditions, road traffic accidents or road closures or being given the wrong booking information by the controller/customer or customer booked it online and got the booking reference but driver did not get any confirmation from etc.
All Drivers must be available during their shifts,
Drivers must ACCEPT all jobs sent to them, any issues can be answered later

Driver are allowed in the office when requested:
• Please read job details and instructions very carefully (PDA & Text)
• Must keep update status of job on PDA
• Make sure arrived at pickup address 5 minutes before the given job time (no calls and text before time) Driver can call after 5 mins at arrivals & wait there 15 mins in case of NO Contact. (After that must call before leave)
• If you think you are Arrow Fleet passing late on job please ensure call and update customer for expected time of arrive (Always have/use Bluetooth or hands free)
• Standard luggage assumes that one medium Size suitcase Arrow Fleetcarry up to 23kg. Any extra luggage that the driver of Private Hire Vehicle cannot provide accommodations is the responsibility of the driver (No luggage is allowed on the seats)
• Arrow Fleet may mention about the meeting point where both passenger and driver must agree too. Failure to meet the passenger at the meeting point may decrease further charges such as waiting time and extra car park or otherwise, The fine to be charged in such situation will be decided by Arrow Fleet Minicabs (subject to a minimum of £5.00)
• No additional charge for any flight delays time will be adjusted accordingly, if flight is delayed or early. It is noteworthy that 99% of our customers only pay fixed booking price
• It is your responsibility to inform Arrow Fleet if you could not locate the passenger
• Please let us know well in advance at least 2 or 3 days before if you have any appointment or holiday plan (least 12 hrs exceptional other than emergencies)
• Please note if you want to leave the work with us you will need to give us notice before two week in advance and balance will be clear in next two weeks because of any fine and penalties related to any jobs you done.
• No Notice No deposit or balance will be paid as it will be a breach of contract
• If Jobs been reallocated/ cancelled so please remove it from your system. The Boss will be notified about the change of driver/ Refusal and you may be penalised for rejection. To avoid with future bookings, please ensure you inform your availability at least 12 hr so bookings make live as soon as they Arrow Fleet on our dashboards
Meet & Greet must be Inside Arrival Airport Terminal, if not inside in 17 minutes driver fine may be imposed £20 ( other than ask from office/customer) All risk is yours in case of complaint
• Keep Checking Live Flight Arrivals and arrive airport at landing time (NO Controller responsibility)
• No jeans, no Trainers, no Huddles
• Must sure that Vehicles full tank of petrol/diesel as with customer is not allowed to stop and refill the tank
• Always look after the customer, car should be neat and clean, Flight track yourself Read the Job Text thoroughly (baby seat, cash or account job, number of passenger l and Luggage saloon estate or mpv )
• Try to accommodate customer yourself if he want to change or edit the job let us know,
• Always provide us the feedback in relate to customer
• Please ensure clean all crockery after use otherwise you will not find anything to use again and put all rubbish in bin don’t leave your food in Office
Fixed price Rides must not differ from the drivers chosen route any deviation will result in the journey reverting to a fare decided by Arrow Fleet Minicabs.com will decide charges after considering the extra mileage and delay instigated either by the prevailing traffic conditions or by passenger.

Any mistake / errors / confusion made by driver for his/her self or on behalf of someone else of the Private Hire Booking will result in a charge of a minimum of £20.00 dependent upon the severity of the fouling.
